1. Acceptance of Terms
By accessing or using the FullRecover platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including organizations ("Customers") and their authorized users.
2. Description of Service
FullRecover provides a grant expense recovery platform that helps organizations identify eligible expenses, validate them against grant rules, and generate invoice-ready exports. The Service includes:
- Data ingestion from connected systems and CSV uploads
- Eligibility rules configuration and validation
- Coverage gap analysis and reporting
- Invoice-ready export generation
- Audit trail and documentation
3. User Accounts
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and current
- Managing access for users within your organization
4. Your Data
Ownership: You retain all rights to your data. We do not claim ownership of any data you upload or process through the Service.
License: You grant us a limited license to process your data solely to provide the Service. This license terminates when you delete your data or close your account.
Responsibility: You are responsible for the accuracy and legality of data you upload. You represent that you have the right to upload and process such data.

5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service
- Upload malicious code or content
- Reverse engineer or attempt to extract source code
- Resell or redistribute the Service without authorization
6. Payment Terms
Fees: Fees are as described on our Pricing page or in your order form.
Billing: Fees are billed in advance on a monthly or annual basis, depending on your plan.
Changes: We may change pricing with 30 days notice. Price changes will take effect at your next renewal.
Refunds: Fees are generally non-refundable. We may offer refunds at our discretion or as required by law.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We will provide reasonable notice of scheduled maintenance when possible.
8. Intellectual Property
The Service, including its design, features, and functionality, is owned by FullRecover and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
FullRecover is a tool to assist with grant expense management. You are responsible for verifying the accuracy of outputs and ensuring compliance with grant requirements.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FULLRECOVER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Termination
By you: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
By us: We may suspend or terminate your account for violation of these Terms or for non-payment.
Effect: Upon termination, your right to use the Service ceases. You may export your data before termination.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
